Position title: Manager
Legal and Compliance
Division: Legal
and Compliance
Location: Delhi NCR, Gurgaon India
Position Purpose
the Manager Legal and Compliance is responsible for helping the ORGANISATION
team with providing high quality, timely and cost-effective legal services.
This requires a hands-on, can-do approach to partner with and advise the ORGANISATION
business to support and advise across:
(a) Commercial and
contract law; communications law, mergers, and acquisitions; regulatory;
dispute resolution; privacy; IT; procurement; intellectual property; and
competition law.
(b) Compliance, risk
management and corporate governance. The role will be a trusted advisor to ORGANISATION
& group company teams and ensure that they operate in accordance with law,
regulation, policy, and the best interests of stakeholders including customers
and shareholders.
RESPONSIBILITIES
• Deliver high
quality, commercially focused legal services to ORGANISATION.
• Function as a
proactive member of the legal team, advise other team members on business
decisions from a legal perspective.
• Resolve legal
issues relating to ORGANISATION and group companies’ operations in the
specified region, which may cover different aspects of commercial, regulatory,
litigation, compliance, IP, and transactional matters
• Provide ongoing
support to business teams in drafting, negotiating a variety of complex sales
and service agreements, RFPs/RFQs/ Tender issues with customers as well as
vendors.
• Advise HR
department and business team leaders on all kinds of employment, compensation,
and labour dispute matters
• Advise operations
and commercial teams on how to protect ORGANISATION IP in various transactions
• Assist in
evaluations and conducting thorough due diligence for all deals and
transactions and effectively develop and implement appropriate risk-mitigation
strategies in relation to organization's business operations.
• Evaluate the
impact of evolving legal and statutory regulations pertaining to the relevant
business function and advising the management on the implications on the
business
• Maintain good
standards of corporate governance, including ensuring compliance with
applicable laws, consents, regulations, Companies policies and rules.
• Risk management:
Help maintain a comprehensive approach to risk, risk management, and
compliance.
• Stakeholder
Management: Help build and maintain relationships of trust with key
stakeholders
• Execute for
results and help deliver sustainable value to stakeholders REQUIREMENTS
• Education and
Qualifications:
o Degree holder in
Law
o Admitted to
practice law
Skills
and Experience
o Substantial
experience as a senior lawyer providing legal advice to the various inhouse
departments.
o Significant
exposure to a wide range of law including commercial and contract law; company
law, mergers and acquisitions; regulatory; dispute resolution; privacy; IT;
procurement; intellectual property; anti-bribery; sanctions; and competition
law; o Strong stakeholder management skills and experience in building
relationships of trust and influencing outcomes across a range of stakeholders.
o Business judgment
with the ability to develop pragmatic solutions to challenging business issues.
This includes confidence to constructively give full and frank advice with a
focus on risk management (not risk minimization).
o Internal and
external negotiation skills.
o Strong customer
focus and ability to develop and maintain internal and external relationships.
o Proven ability to
act independently and provide commercially focused legal advice with a high
degree of integrity.
o Experience with
risk management and compliance.
o Proven ability to
review, draft, and edit documents.
o Good command in
both spoken and written English.
o Ability to work
cross-culturally as a cohesive team
